Terms of Service

1. Agreement to Terms

By accessing or using Tradecide AI ("the Service", "Platform", "we", "us", "our") at app.tradecide.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By creating an account, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

2. Not Financial Advice - No Investment Recommendations

The analysis, signals, outputs, and content generated by Tradecide AI are for informational and educational purposes only and do not constitute:

• Financial advice or investment advice of any kind
• A recommendation or solicitation to buy, sell, or hold any security
• A prediction or guarantee of future market performance
• A substitute for professional financial, legal, or tax advice

The labels "BULLISH", "NEUTRAL", and "BEARISH" used in our AI outputs represent AI-generated directional sentiment assessments - not investment recommendations. They are not equivalent to "BUY", "HOLD", or "SELL" ratings as defined by regulated financial advisors or broker-dealers.

Insider trading data displayed on the platform is sourced from publicly available SEC filings and is provided for informational purposes only. It does not imply any illegal activity or constitute a trading signal.

You acknowledge that all trading and investment decisions are made solely at your own risk. Tradecide AI is not liable for any financial losses incurred as a result of using the Service.

3. Accounts and Registration

You must create an account to access most features. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password
• Promptly notify us of any unauthorized account use at legal@tradecide.com
• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the Service.

4. Subscriptions, Billing, and Refunds

Tradecide AI offers paid subscription tiers (Pro at $14.99/month, Analyst at $39.99/month). By subscribing you agree to:

• Recurring billing: Subscriptions auto-renew monthly unless cancelled before the renewal date.
• Quota system: AI analysis usage is governed by a usage quota. Unused quota does not roll over between periods.
• No refunds for partial periods: We do not provide refunds for partial subscription months, unused quota, or AI calls already made.
• Price changes: We will provide at least 30 days notice before any price increase. Continued use after the effective date constitutes acceptance.
• Cancellation: You may cancel at any time via your account settings. Access continues until the end of the current billing period.

5. AI Output Accuracy and Limitations

AI-generated analysis is inherently probabilistic and may contain errors, omissions, or outdated information. Tradecide AI makes no warranty that:

• AI outputs are accurate, complete, or timely
• Analysis will be profitable or match actual market movements
• Third-party data sources (SEC filings, news, social signals) are error-free

Market data, SEC insider filings, sentiment signals, and fundamental data are sourced from third parties. We are not responsible for errors in that data. AI models may produce hallucinations or incorrect outputs - always verify information independently before making any financial decision.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to reverse-engineer, scrape, or extract data from the platform at scale
• Share your account credentials with others
• Use the Service to manipulate markets or spread false information
• Circumvent quota or rate limits through technical means
• Redistribute, resell, or commercially exploit AI outputs without written permission
• Use the Service if you are a registered investment advisor or broker-dealer providing advice to third parties without appropriate disclosures

7. Intellectual Property

The Service and its original content, features, and functionality are owned byTradecide AI and protected by international copyright, trademark, and other intellectual property laws.

AI-generated outputs are provided to you for personal, non-commercial use. You may not reproduce, distribute, or create derivative works from the outputs for commercial purposes without our prior written consent.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADECIDE AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any trading losses, investment losses, or financial damages resulting from use of the Service
• Loss of profits, revenue, data, or business opportunities
• Errors or inaccuracies in AI-generated analysis
• Service interruptions or downtime

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Tradecide AI and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any trading decisions made based on the Service.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason including breach of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including Sections 2, 8, 9, 10, and 13.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation.

If a dispute cannot be resolved through negotiation within 30 days, both parties agree to submit to binding arbitration. You waive any right to a jury trial or to participate in a class action lawsuit against Tradecide AI.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the platform at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
